The Directors recognise the importance of sound corporate governance commensurate with the size and nature of the Company and the interests of its shareholders.

It discloses the extent to which the Company will follow the recommendations set by the ASX Corporate Governance Council in its publication Corporate Governance Principles and Recommendations 3rd Edition (Recommendations). The Recommendations are not mandatory, however the Recommendations that will not be followed have been identified and reasons for not following them, along with what (if any) alternative governance practices have been adopted in lieu of the Recommendation. The Company has adopted Corporate Governance Policies which provide written terms of reference for the Company’s corporate governance practices.

Board Committees

The Board assumes the responsibilities normally delegated to the Audit, Remuneration and Nomination Committees.

The full Board presently performs the function of an Audit Committee. A separate Audit Committee may be established when appropriate, as the Company’s activities develop in size, nature and scope, and where increased efficiency and effectiveness can be derived from having a separate committee.
